Introducing the Kapitall Grand Prix

The Grand Prix is the ultimate contest of Kapitall's Market Masters Tournament in which participants have a chance to win $100,000.

- To start, join the current month's Market Masters Challenge.

- Compete with your friends to show off your investing strategies.

- To win, you will need to have the highest return amongst all competitors in the month.

- The first place winner will receive a ticket to the Grand Prix.

- All ticket holders will have the opportunity to win $100,000 by attempting to predict the rise or fall of the Dow Jones Industrial Average (DJIA) to the 10th of a decimal point on a specified date.

Grand Prix - Official Rules

Kapitall, Inc. ('Sponsor') will offer selected finalists an opportunity to win $100,000 in real cash in its Grand Prix giveaway by attempting to predict the rise or fall of the Dow Jones Industrial Average (DJIA) to the 10th of a decimal point for a designated date. NO PURCHASE NECESSARY TO ENTER OR WIN.

Eligibility

The Grand Prix is open to: (a) Registered Users who have an approved brokerage account as of 5pm EST on the second Tuesday of the month following the end of the previous month's Market Masters Tournament with our affiliate, Kapitall Generation, LLC; (b) who are legal residents of one (1) of the fifty (50) United States. Washington DC or Canada (excluding Quebec) (for purposes of clarity, Puerto Rico is expressly excluded) and (c) at least eighteen (18) years old or age of majority in their state of residence, whichever is older, at the date of registration in the Tournament.PLEASE NOTE: Notwithstanding the foregoing: (i) eligible legal residents of Canada, Arizona, Iowa, Louisiana, Montana, Vermont and Washington State may play in the Tournament, but are not eligible to win any prizes and if places number 1 in the monthly Tournament will not be eligible for the Grand Prix; and (ii) in all events you must be eighteen (18) years of age or older (if the age of majority in a jurisdiction is over 18, you must be of the age of majority within your jurisdiction) in order to win any prizes. If you are not a Registered User you may become a Registered User by joining Kapitall.com. There is no fee or charge for you to become a Registered User. *All Kapitall, Inc. Tournament games are subject to the complete applicable Official Rules. Void where prohibited by law. Employees of Kapitall, Inc. and members of the immediate family or household of each are not eligible to win. Immediate family member is defined as a parent, sibling or any person residing in the same household as an employee of Kapitall. Void where prohibited by law.

How to Enter: To enter the Contest, you must participate in the Sponsor's Market Masters Tournament during the following registration periods as follows:

Registration Period:

Begins on the first business day of the month at 9:30AM EST and ends on the last business day of the month at 4:00 PM EST.

Finalist Selection and Notification

Grand Prize Finalists - Maximum of (5): Following the close of each Entry Period in a Market Master Tournament, Sponsor shall determine the 1st place finisher by determining the participant who has scored the highest total value during that Entry Period. This contestant who has scored the highest total value will be designated as a grand prize finalist for that Entry Period. In the event of a tie among contestants in the lead for the highest total value during an Entry Period - Sponsor shall randomly select (1) of the contestants who is tied for the lead for that Entry Period to determine the grand prize finalist. Decisions of the Sponsor in the selection and determination of finalists and all matters relating to this Contest are final and binding.

Each eligible finalist as designated by Sponsor will be provided with a Finalist Entry Form. Only one finalist entry form will be awarded per registered user for the above registration period.Finalists must fully complete the provided entry form with all required information including his/her name, complete address, valid email address, birth date, phone number, and their prediction of the exact increase or decrease of the Dow Jones Industrial Average (DJIA) to the exact 10th of a point on the designated contest date. The designated contest date is the second Tuesday of the month following the end of the previous month's Market Masters Tournament unless stated otherwise by the Sponsor.

The following requirements will apply to each submitted prediction:

  • Designated Index: Dow Jones Industrial Average (DJIA)
  • Prediction: Exact increase or decrease to the exact 10th of a point (i.e. + 82.8)

All Finalist Entry Forms must be fully completed with all required information. Maximum of one entry per finalist. Finalist Entry Forms must be received by Sponsor no later than 9:00 AM EST the designated contest date as communicated by the Sponsor. Once the Finalist Entry Form is submitted no changes or resubmissions will be accepted.

Any incomplete or illegible entries will be disqualified. Released Parties are not responsible for lost, late, misdirected, illegible, incomplete, invalid, unintelligible, damaged, or for entries submitted in a manner that is not expressly allowed under these rules, or for any entry not submitted or received due to any technical error or failure, unauthorized human intervention, inaccurate capture or mis-entry of any required information; all of which will be disqualified. Each participant must submit an entry on his/her own behalf. Any entry submitted on behalf of another individual or using another person's name will be disqualified and ineligible to claim any prize. No mechanically reproduced or automated entries permitted. Use of any automated system to participate is prohibited and will result in disqualification and all such entries will be deemed void.

Grand Prize Contest - How to Win: Following the close of the NYSE (4:00pm EST) on the designated contest date, each eligible finalist's prediction will be compared to the actual increase or decrease of the DJIA for that corresponding contest date to determine if a winning prediction has been submitted. The actual increase or decrease in the DJIA for that corresponding contest date must exactly match the actual prediction submitted by the finalist selected for that contest date to the 10th of a decimal point.

  • For example if the actual DJIA result is: +82.8, then a submitted prediction of -82.8 or a prediction of +82.7 would not constitute a winning prediction.

In order for a grand prize to be awarded, an eligible finalist must submit and correctly predict the exact increase or decrease of the DJIA to the exact 10th of a point for the designated contest date.

Limitations and Restrictions

By participating in this promotion, entrants agree to abide by and be bound by the Official Rules and the decisions of the Contest Administrator, which shall be final in all matters relating to this Promotion. In the event an entrant wins a prize, and is later found to be in violation of these rules he/she will be required to forfeit the prize or to reimburse Sponsor for the stated value of the prize if such violation is discovered after winner has used the prize. Participation in promotion constitutes permission for the Sponsor and its agencies to use entrants' names and/or likenesses for purposes of advertising and trade in any media worldwide without limitation or further compensation unless prohibited by law. False, fraudulent or deceptive entries or acts shall render entrants ineligible for any prize.

Prize Awards & Delivery: In the event of a winning prediction by an eligible finalist, according to these Official Rules, the finalist will be notified by Sponsor via email and will be eligible to claim the grand prize, subject to verification and compliance with these official rules. The grand prize award is as follows: a deposit into the eligible winner's Kapitall Generation LLC brokerage account in the amount of $100,000. Winner must have a Kapitall Generation LLC brokerage account in order to redeem their prize. The $100,000 prize which is credited to the Kapitall Generation LLC brokerage account cannot be withdrawn from the brokerage account until a trade has been placed and 90 calendar days have lapsed.

A maximum of (1) grand prize will be awarded. In the event of more than (1) eligible grand prize winning entry, then the cash value of the grand prize available credit will be evenly distributed among all eligible winning finalists (i.e. if there are two winning entries, each winning contestant will receive a deposit into the eligible winner's Kapitall Generation LLC brokerage account in the amount of $50,000). If an eligible finalist does not correctly submit a winning prediction during this contest as required by these official rules, then the grand prize will not be awarded.

Grand prize winner, if any, must accept delivery of prize from sponsor, or as otherwise instructed by sponsor. All other costs related to prize delivery and acceptance is the responsibility of winner including but not limited to all applicable taxes. Kapitall, Inc. and its affiliates are not responsible for the tax consequences of this cash credit. You should consult with your own tax advisor about the appropriate tax treatment for this offer and any tax implications associated with receipt of the offer. Any taxes related to the offer are your responsibility. All properly claimed prizes will be awarded. Prizes are nontransferable and no cash redemption or prize substitution allowed, except at the Sponsor's sole discretion or as provided herein. Sponsor reserves the right to substitute a prize of equal or greater value if an advertised prize becomes unavailable.

Winner will be required to complete and return a W-9 form (if prize value exceeds $600.00), affidavit of eligibility, and liability/publicity release (Tennessee residents need not sign publicity release), and present a valid driver's license and social security card before prize will be awarded. Winner of prizes greater than $600.00 will be issued a 1099 form reflecting the value of the prize(s) and are responsible for paying all applicable taxes on prize(s). Failure to collect or properly claim any prize in accordance with these rules will result in forfeiture of the prize. If forfeited for any reason, contestant will not receive any other prize substitution or compensation. Total ARV of all available prizes: $100,000.

Legal Disclaimers

All participants agree to abide by the terms of these Official Rules and the Legal Disclaimers below, and by the decisions of Kapitall, Inc., ("Kapitall"), which are final and binding on all matters pertaining to the Tournament.

General Conditions

By entering the Tournament, each participant accepts and agrees to be bound by these rules and by the decisions of Kapitall, which shall be final and binding in all respects. Further, each participant also acknowledges and agrees to the Kapitall Terms of Use and Privacy Policy, incorporated herein by reference. Taxes, if any, are the sole responsibility of each Prize Winner. No substitution or transfer of a Prize is permitted except by Kapitall.

Except where prohibited by law, the Prize Winner's acceptance of a Prize constitutes permission for the Tournament Entities to use Prize Winner's in all forms of media, in perpetuity, without further compensation. Participants agree to Kapitall's use of their names and likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.

All federal, state, local, and provincial laws and regulations apply.

Kapitall is not responsible for lost, late or misdirected on-line entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions. Kapitall reserves the right to halt or modify the Tournament at any time during the Tournament period if events beyond their control compromise the Tournament's fairness or integrity. In the event that a scheduled game is canceled or preempted for any reason, no prizes will be awarded for that month.

Kapitall is not responsible for typographical or other human or technical errors in the offer or administration of this Tournament, including but not limited to errors in advertising, the Official Rules, the selection and announcement of a Prize Winner(s) or the distribution of a Prize(s).

Kapitall, in its sole discretion, may disqualify any participant in the Tournament, refuse to award Koins or a Prize and require the return of a Prize, if a participant engages in any conduct Kapitall deems to be improper, unfair or otherwise adverse to the operation of the Tournament or detrimental to other participant. Such improper conduct includes, but is not limited to, falsifying personal information required during Tournament registration or Prize claim, violating any term or condition stated herein, accumulating Koins or prizes through methods such as automated computer scripts or other programming techniques, allowing others to use the participant's personal information for the purpose of accumulating points or prizes, tampering with Kapitall's administration of this promotion, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this Web site. Participant further acknowledges that the forfeiture of a Prize and/or return of a Prize shall in no way prevent Kapitall from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

Kapitall reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Tournament. This Tournament is not affiliated with or endorsed by any issuer, regulatory body. This is a skill contest designed to increase the participants' awareness of and interest in the stock market.

Tournament is designed for the participant's enjoyment and entertainment. This Tournament may not be used for any form of gambling.

Rules/Winners Information

Internet

If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Kapitall which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Tournament, Kapitall reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Tournament. In such an event, Kapitall further reserves the right to award a Prize to the player with the highest score as of the termination date (tie breakers rules will apply).

Kapitall and its affiliated and subsidiary companies assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. Kapitall and its affiliated and subsidiary companies are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any transaction to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Tournament.

Lost or Corrupted Entries

Kapitall and its affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage due entries or mail if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. Kapitall and their parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Tournament, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Tournament.

Damaged Property

Kapitall and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person's computer or property related to or resulting from participating in this Tournament or downloading materials from this Tournament.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE TOURNAMENT IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, KAPITALL RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity based on e-mail address submitted, entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any entry that is incomplete, late, or does not include a validly issued User ID will be disqualified.

In the event that the Tournament is forced to cease by any legal or regulatory authority, Kapitall reserves the right to discontinue or modify the Tournament, or to disqualify participants residing in the affected geographic areas. In such event, Kapitall shall have no liability to any participants who are disqualified due to such an action.

Tournament Errors

Kapitall and its affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Tournament; (b) in any related advertising or promotions of this Tournament; and/or (c) in these Official Rules including but not limited to errors in advertising, the Official Rules, the selection and announcement of a Prize Winner or the distribution of a Prize. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Tournament.

Prize Winner(s) and Prize(s)

Kapitall and its affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of a Prize Winner, the distribution of a Prize, the acceptance/possession and/or use/misuse of any part of a Prize and/or any injury or damage to any entrant's or third person's property related to or resulting from any part of a Prize or any part of this Tournament.

Release and Indemnity

Each entrant in the Tournament, including, without limitation, a Prize Winner, hereby releases and agrees to hold harmless Kapitall and its affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a Prize, participation in this Tournament and participation in any activity related to this Tournament.

Limitation of Liability and Disclaimer of Warranties

IN NO EVENT WILL KAPITALL AND/OR ITS AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE TOURNAMENT, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE AND/OR THE TOURNAMENT. IN NO EVENT SHALL KAPITALL'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE TOURNAMENT AND THE SERVICE INCLUDING THE PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. Binding Arbitration

The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Tournament. Any controversy or claim arising out of or relating to these Official Rules and/or the Tournament shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, in the City of New York.

Governing Law and Jurisdiction

THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Tournament, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the New York state and federal courts located in the City of New York, and State of New York. The parties agree not to raise the defense of forum non conveniens.
